You expressly understand and agree that Fide Marketing shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Fide Marketing has been advised of the possibility of such damages), resulting from your use of the API or third-party products that access data via the API.
Abuse or excessively frequent requests to Fide Marketing via the API may result in the temporary or permanent suspension of your account’s access to the API. Fide Marketing, in its sole discretion, will determine abuse or excessive usage of the API. Fide Marketing will make a reasonable attempt via email to warn the account owner prior to suspension.
Fide Marketing reserves the right at any time to modify or discontinue, temporarily or permanently, your access to the API (or any part thereof) with or without notice.
Fide Marketing requires payment in advance for all services provided. You agree to pay a service charge equal to the lesser of one and one-half percent per month on the outstanding past due balance and the maximum amount permitted by law. Fide Marketing reserves the right to collect all outstanding amounts for any month in which Services were provided.
Except for those warranties contained herein, Fide Marketing expressly disclaims any and all other warranties expressed or implied including those of merchantability or fitness for a particular purpose not expressly set forth herein. No affirmation of Fide Marketing, by words or actions, other than as set forth in this section shall constitute a warranty. Further, Fide Marketing does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website properties or otherwise relating to such materials on any sites linked to the these sites.
Limitation of Liability: Fide Marketing’s liability, whether under the theories of breach of contract or warranty, negligence or strict liability for service rendered or non-performance of services shall be limited to Fide Marketing crediting or paying customer equal to the purchase price of one month of service. In no event shall Fide Marketing or its suppliers be liable for any consequential damages (including, without limitation, damages for loss of data or profit).
Indemnification: You (for yourself, and your employees, agents, and administrators), agree to defend, hold harmless, and indemnify Fide Marketing from and against any and all losses, costs, expenses, fines, damages or other liabilities incurred by Fide Marketing (and Fide Marketing’s authorized representatives, present and future officers, directors, employees, and agents) arising from or related to any cause of action, claim, suit, proceeding, demand or action by a third party against Fide Marketing.
Cost and Expenses of Enforcement: Customer is responsible for all costs and expenses incurred by Seller in enforcing its rights, including, without limitation, reasonable costs and attorneys’ fees related to any lawsuit or claim by and/or between Customer and Fide Marketing. In the event of Customer’s breach of any obligation (which includes, but is not limited to, Customer’s failure to pay), Customer agrees to pay all reasonable attorneys’ fees, collection fees and costs of Fide Marketing, including those incurred post-judgment, in any action brought to enforce the terms and conditions of any transaction. Furthermore, Customer acknowledges and agrees that Fide Marketing may seek equitable relief without the necessity of posting a bond.
Except for the limited purpose as stated in the Authority section, Fide Marketing is an independent contractor, and no agency, joint venture or employee-employer relationship is intended or created by this Agreement.
These Terms of Service shall be governed by the laws of the State of Florida and any disputes under these Terms of Service shall be litigated in Federal or State Courts located in Florida.
